Terms of Service
Effective Date: September 1, 2024
1. Acceptance of Terms
By accessing or using QuickFreight (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. These Terms apply to all users, including Carriers, Brokers, Shippers, and Administrators.
2. Carrier Compliance Requirements
Carriers registering on the Platform must possess and maintain an active Motor Carrier (MC) Authority issued by the FMCSA, a valid W-9 on file, and a Certificate of Liability Insurance (COI) meeting the minimum coverage required by applicable federal regulations. QuickFreight reserves the right to suspend or terminate any carrier account that becomes non-compliant.
3. Broker Obligations
Brokers using the Platform must hold a valid FMCSA Broker Authority and maintain a Broker Bond (BMC-84/85) or trust fund agreement as required by law. Brokers are responsible for ensuring loads posted comply with all applicable federal and state transportation regulations.
4. Rate Confirmations & Binding Agreements
A Rate Confirmation generated and signed on the Platform constitutes a legally binding agreement between the Broker and the Carrier for the transport of the specified freight. Both parties agree to be bound by the terms, compensation amounts, and special instructions contained in the signed Rate Confirmation.
5. Prohibited Conduct
You may not use the Platform to post fraudulent loads or carriers; circumvent the Platform's matching process to conduct off-platform transactions; upload documents that misrepresent compliance status; access another user's account or data without authorization; or attempt to reverse-engineer, scrape, or disrupt the Platform's services.
6. Limitation of Liability
QuickFreight is a technology platform and is not a motor carrier, freight broker, or freight forwarder. QuickFreight is not liable for the physical transportation of freight, cargo loss or damage, delays, or any disputes between Carriers, Brokers, and Shippers arising from a freight transaction. To the maximum extent permitted by law, QuickFreight's total liability shall not exceed the fees paid by you in the three months preceding the claim.
7. Modifications to Terms
QuickFreight reserves the right to modify these Terms at any time. We will provide notice of material changes via email or an in-platform notification. Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of those changes.
8. Governing Law
These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
